    Each buyer is required to pay to the Receiver on the date of the public sale a five (5%) earnest money deposit which will be held by the Receiver and applied to the purchase price at closing. No sale will be subject to any financing contingencies and there will be no agent or brokerage commissions paid from the proceeds, except the Receiver’s and auctioneer’s costs and fees for services provided. Each sale must be confirmed by the Court pursuant to 28 U.S.C. §§ 2001(a) before a sale is final and can be closed.
    The property is being sold by public sale “AS IS, WHERE IS” and subject to all leases.

    Neither the Receiver nor the Plaintiff in this action make any representation or warranty relating  to the title, liens or any physical, environmental, health or safety conditions existing in, on, at or  relating to the property, and any and all responsibilities or liabilities arising out of or in any way  relating to any such condition expressly are disclaimed. 

    Property taxes will be prorated up to the  date of closing. The Receiver reserves the right to determine the manner in which the property is  sold and has the right to withdraw any property, real or persona, from the public sale at any time  prior to the start of the respective sale. The Receiver shall convey title to the property by non-warranty deed.  Upon confirmation of sale by the Court, the balance of the purchase price shall be due in  full in cash or certified funds within thirty (30) calendar days from the order confirming the sale  unless otherwise extended in the sole discretion by the Receiver. Failure to tender the balance of  the purchase price within the time set forth herein may result in the forfeiting of the buyer’s deposit  and termination of the sale at the sole discretion of the Receiver.
